NOTICE OF SALE OF PERSONAL PROPERTY

Southwest Tennessee Development District (referred to herein as "Secured Party”), as

the holder of an indebtedness from Debtor to Secured Party, shall offer at Public Sale,

to the last, highest and best bidder for cash, the personal property described herein

below (all stated property referred to collectively herein as "Personal Property").

Secured Party will be selling the subject personal property pursuant to a public auction

by a sealed bid process on Tuesday, October 26, 2021, at 12:00 PM (noon) following

the terms of sale herein described below. To obtain a more specific list of the Personal

Property, contact Secured Party, c/o Teresa Sanders, at 731-668-6428.

The Personal Property will be sold by the Secured Party only pursuant to its rights

under the Uniform Commercial Code as adopted by the State of Tennessee, § 47-9-

101, et seq., Tennessee Code Annotated. The Secured Party will convey the Personal

Property to the successful purchaser subject to any unpaid personal property taxes and

subject to any liens, leases or contracts which may have priority over the rights of the

Secured Party. The Personal Property will be sold "AS IS, WHERE IS." THERE IS NO

WARRANTY RELATING TO TITLE, POSSESSION, QUIET ENJOYMENT, OR THE

LIKE IN THIS DISPOSITION. THE SALE OF THE PERSONAL PROPERTY WILL BE

MADE WITHOUT ANY WARRANTY, EITHER EXPRESS OR IMPLIED, AS TO

CONDITION, MERCHANTABILITY OR FITNESS FOR ANY USE OR PURPOSE

WHATSOEVER. The Secured Party will convey only such title to the Personal Property

as is vested in the Secured Party under the Tennessee Uniform Commercial Code. The

Secured Party reserves the right to make announcements at the time of the sale

regarding the terms of the sale.

ITEMS TO BE SOLD: 2003 Bullet Boat 21XD and hull (BB021X97K203) with trailer;

and Vtrex Trolling Motor.

TERMS OF SALE:

1. Southwest Tennessee Development District will sell the above-listed personal

property in bulk by public sale through sealed, competitive bidding. Bids will be

accepted until 12:00 PM (noon) CDT on Tuesday, October 26, 2021. Bids

received after the date and time specified will not be accepted and will be

returned to the bidder unopened.

2. The sale will take place at Southwest Tennessee Development District’s office,

located at 102 E. College Street, Jackson, TN 38301.

3. All bids should be delivered to Southwest Tennessee Development District; c/o

Teresa Sanders; 102 E. College Street; Jackson, TN 38301.

4. No deposit is required for the proposed bid price.

5. Bids must be submitted in a sealed envelope marked, “Sealed Bid for Bullet

Boat” and shall be signed by the prospective purchaser.

6. Possible bidders may view and inspect the subject personal property by

scheduling an inspection with Southwest Tennessee Development District (731-

668-6428).

7. Southwest Tennessee Development District reserves the right to reject any

noncompliant bids.

8. The successful bidder shall pay the successful purchase price in full with certified

funds or cashier’s check made payable to Southwest Tennessee Development

District no later than 12:00 PM (noon) CDT on or before Tuesday, October 26,

2021.

Debtor is entitled to an accounting of the unpaid indebtedness secured by the Personal

Property that we intend to sell.

Interested Parties: Clark Family Clinic, LLC, John David Clark, and Charlene Ellsworth

Clark (collectively “Debtors”).
